About the role
We are looking for a hands-on Contract Lawyer to join our Legal team. This is a deeply
practical role — approximately 95% of your work will be reviewing, negotiating, and redlining
commercial agreements with payment providers, merchants, and internal corporate
counterparties. If you enjoy reading contracts more than writing memos, this role is for you.
You will be embedded in our day-to-day commercial operations, working closely with
BizDev, Finance, and Compliance to assess risk, protect the company's financial interests,
and push deals to signature. Research tasks and legal opinions are a minor part of the workload.
Responsibilities
? Review, negotiate, and redline provider agreements — including acquiring,
processing, PSP, and APM contracts — with a focus on settlement mechanics,
rolling reserve, liability, and fee structures
? Review and negotiate merchant agreements, ensuring compliant onboarding terms
and appropriate risk allocation
? Draft and review in-house corporate contracts: NDAs, service agreements, vendor
contracts, employment and contractor agreements
? Maintain a structured Risk Log for each reviewed contract, identifying risks, their
business impact, and required remediation steps
? Prepare redlined agreements and risk summaries for sign-off by Head of Legal &
Compliance and BizDev teams
? Identify and flag critical clauses: liability exclusions, unilateral amendment rights,
third-party liability pass-through, inadequate termination rights, and improper
deduction mechanics
? Ensure contract terms align with agreed commercial parameters (MDR, settlement
period, rolling reserve terms, FX rate mechanics, chargeback fees, GEO restrictions)
? Track the status of contract iterations and ensure timely review within SLA
? Maintain and improve standard contract templates and internal clause playbooks
What you will be reviewing
? Payment provider and PSP agreements (Payin, Payout, P2P, Open Banking)
? Acquirer and IPS-related terms, including chargeback, rolling reserve, and settlement
mechanics
? Merchant services agreements
? Subprocessor and third-party vendor contracts
? Internal corporate agreements (NDAs, service agreements, contractor terms)
Requirements
? Law degree from a reputable university
? 3+ years of experience in contract law, with the majority spent in fintech, payments,
banking, or a financial services law firm
? Hands-on experience reviewing and negotiating payment provider or PSP
agreements — you must understand how settlement, rolling reserve, chargebacks,
and acquirer relationships work in practice
? Familiarity with PCI DSS, AML/KYC, Visa/Mastercard rules, and how they translate
into contractual obligations
? Strong command of liability clauses — limitation of liability, indemnification, exclusion
of indirect damages, third-party liability pass-through
? Ability to produce clear, actionable risk summaries and redlines independently
? Advanced English — both written and spoken; you will draft, redline, and negotiate
entirely in English
? Detail-oriented, structured, and comfortable managing multiple contracts
simultaneously under time pressure
Nice to have
? Experience with chargeback disputes, rolling reserve recovery, or fee arbitration with
acquirers / IPS
? Background working in or alongside a BizDev or commercial team in a fintech
environment
? Experience building or maintaining internal contract templates and legal playbooks
? Knowledge of multiple jurisdictions relevant to payment processing (EU, UK,
offshore)
