We are currently looking for an experienced Senior (or strong mid-level) lawyer to join an international investment management group, with a focus on international corporate matters, mergers and acquisitions (M&A), and investments.
The successful candidate will play a role in advising on complex transactions (including deal structuring, drafting transactional documentation, and deal closing), as well as ensuring compliance with international regulations.
This position demands a proactive professional with strong analytical abilities.
Position Location: distance work.
Key Responsibilities
- Provide comprehensive legal advice on international corporate transactions, including mergers, acquisitions, joint ventures, and investment deals.
- Draft, review, and negotiate a wide range of commercial agreements, such as share purchase agreements, shareholder agreements, investment contracts, and due diligence reports.
- Conduct thorough legal due diligence for M&A and investment projects, identifying risks and proposing mitigation strategies.
- Advise on corporate governance, compliance, and regulatory matters in cross-border contexts.
- Collaborate with internal stakeholders, external counsel, and clients to facilitate seamless transaction execution.
- Manage multiple projects simultaneously, setting priorities, delegating tasks where appropriate, and ensuring timely delivery of legal deliverables.
Required Qualifications and Experience
- A qualified lawyer with a minimum of 5 years' post-qualification experience in international law firms or top-ranked Ukrainian law firm or in-house legal department of a multinational corporation.
- Bachelor's degree in Law (LLB) or equivalent.
- Proficiency in English at an upper-intermediate level or higher, with demonstrated ability to handle complex legal documentation and discussions in English.
- Prior experience in fintech, cryptocurrency, or payment systems sectors, including familiarity with related regulatory frameworks such as anti-money laundering (AML) regulations, data protection laws, and digital asset compliance.

- Excellent verbal and written communication skills, including the ability to articulate complex legal concepts clearly in emails, presentations, and negotiations.
- Strong organisational skills, with proven ability to set tasks, manage workloads, and meet strict deadlines in a high-pressure environment.
- Analytical mindset with attention to detail and the capacity to solve problems creatively.
- Ability to work independently as well as collaboratively within a team.
