Bayer Ltd, a leading multinational company, is opening a  position of Lawyer     

Major tasks and responsibilities: 

• to be an independent legal partner for two business divisions in Ukraine: Pharma & ConsumerHealthcare, focusing on pharma laws and regulations: ensure that business practices and transactions comply with all relevant laws and regulations;
• provide legal advice to local administrative and business support divisions: Finance & Accounting, HR, IT, Admin) on various matters: corporate law, employment law (support all labor law-related cases, including conditions of employment, dismissal, support during inspections of the state labor service etc.), tax law, commercial and civil laws, banking and finance, insurances, claim management and litigation matters;
• advise on distributorship models and terms of cooperation, pharmacy chains-related marketing activities, structuring commercial terms, marketing and promotion business models, end-customers and loyalty programs, patient assistance programs, sponsorship, grants, initiatives involving interactions with HCP, healthcare organizations and patients\advocacy groups;
• review and approve business materials (including promotions and advertisement, training documents, communications etc.), and advise on legally compliant strategies, plans, tactics and business models; 
• review, approve and prepare different types of agreements, including, but not limited to marketing services agreements, intellectual property agreements, lease agreements, insurance agreements, services agreements etc.;
• support legal and corporate compliance matters: internal audits, trainings, seminars and compliance campaigns;
• identify and address issues of legal risk and compliance risks (including reporting, risk-mitigating activities);
• prepare letters and other documents related to a variety of trade, commercial, promotional, regulatory, financial and other operational matters to protect the company assets and the overall organization's legal and business interests;
• further implement and maintain the global contract management process including relevant trainings;
• interact/negotiate with the legal representatives of customers, partners, trade associations;
• represent Bayer during official probes, inspections, investigations and in litigation matters;
• retain outside counsels as warranted on all matters related to Bayer business in Ukraine as instructed by the Head of Legal Department.

Main areas of expertise and competencies: pharma law, antitrust and competition, unfair competition, employment law, contract law, corporate law, tax law, advertising law, civil and commercial law, IP, criminal law, litigation etc.

 Skills, experience and qualifications:

• University degree in law 
• English, Ukrainian and Russian must be fluent in spoken and written
• 4+ years legal experience with international firms or leading Ukrainian firms 
• Experience in Pharma/Consumer Health or FMCG sector is considered as a plus
• Bar admission is considered as a plus
• Experience in tailoring internal processes, like contract management, signature authorizations etc.
• Proven ability to work independently
• Proactive, reliable, result oriented
• Experienced in multidisciplinary project-management
• Understanding of complex business issues and strategies
• Experience with work in complex organizational set-ups
• Proficient computer skills, particularly in using information and legal databases, Microsoft Office (World and Excel), etc
