Lawyer (Corporate Governance Expert)

Large Ukrainian bank is looking for an experienced corporate lawyer to join its corporate governance team. The position is part of the unit which is directly subordinated to the Supervisory Board, managed by the Corporate Secretary and responsible for comprehensive ongoing support of the Supervisory Board and its committees, as well as other related corporate governance matters. It is expected that the Corporate Governance Expert, being part of this unit, will be responsible for ensuring a proper activity of one of the committees of the Supervisory Board, its good organization and documentation, legal, regulatory and other related assistance, incl. plenty of methodology matters.

Key responsibilities:

• Arrange and hold ordinary and extraordinary meetings of the Supervisory Board’s committee, prepare calendar plans of such meetings, their agendas and other related documents
• Collect required information and materials for their proper consideration during the meetings
• Act as a point of contact and bridge between executive team and respective Supervisory Board committee, build trustful and positive relations with counterparties from the bank
• Draft legally correct minutes of the meetings (both in Ukrainian and English) reflecting key points of discussion and respective decisions taken, maintain database of the minutes and track execution of the decisions taken
• Ensure compliance of the committee’s activity and documents with legal, regulatory and internal requirements of the bank
• Support members of the Supervisory Board on other aspects of their professional activity
• Prepare and check various legal and other documents related to the corporate governance area — internal policies, contracts, reports, presentations etc.
• Provide assistance to the Corporate Secretary on other matters

Knowledge, Skills and Competencies:

• Strong communication and inter-personal skills
• Very good command of verbal and written English
• Excellent writing skills, proven ability to draft good documents in English and Ukrainian
• Ability to do a great deal of technical work by maintaining exceptional attention to details
• Extensive legal background, good understanding of Ukrainian corporate and (at least key aspects of) banking law, incl. regulatory requirements
• Team-player, practical, result-oriented, and able to partner effectively with cross-functional teams
• Demonstrated ability to pick things up quickly, work well in a fast-paced environment and under the pressure
• Ability to independently manage and prioritize competing demands and multiple issues, while maintaining high attention to detail

Experience:

• University degree in Law
• 5+ years of relevant professional experience in legal and/or corporate governance sphere (preferably, as a corporate lawyer and/or compliance manager and/or corporate governance expert)
• Experience of working in a bank will be considered as advantage
