TECHNICAL SECURITY / PHYSICAL SAFETY

• development and improvement of normative and administrative documents and standards in the area of technical protection and physical security;
• development / approval of standard / non-standard centralized (decentralized) agreements on technical and physical security, security services for security and fire alarm systems, supply, maintenance and repair of technical systems, as well as certified bank vaults, physical security services, projects);
• management and coordination of contractual work, including: control over the fulfillment of contractual obligations by contractors, preparation and sending of letters of demand, claims, development of schemes to optimize and improve interaction with contractors, boost contractual discipline;
• support of the procurement procedure for the selection of suppliers for technical protection;
• coordination and control of performance of work tasks by the engaged experts in technical security in regions, participation in in-house investigation of incidents at guarded facilities;
• organization and control over continuous operation of security systems, taking measures to identify and eliminate faults, as well as restore their efficiency; implementing measures to improve efficiency;
• coordination and control of contractors in terms of upgrading, maintenance and technical support of security systems;
• organization of inspections of facilities protection systems for compliance with regulatory requirements, analysis of technical security;
• detection, diagnostics and response to problems of operation and ensuring the continuous operation of security systems of the Bank's facilities, including the execution of orders in the Service Desk system;
• proposals for building an effective system of technical protection of the Bank's facilities, including through the introduction of modern technologies and innovative methods.

BANKING OPERATIONS:

• bank guarantees, contracts for settlement and cash services, drafting legal opinions on credit cases;
• cash seizure and payment claims; disclosure of banking secrecy at the request of government agencies; development of lending programs (housing loans in the primary, secondary market, consumer lending) and non-standard lending schemes through programs with the funds to finance construction, construction in progress, etc

REAL ESTATE:

• legal analysis of packages of documents for changing the location of the Bank's branches according to the current procedure (purchase and sale, lease);
• legal support of real estate purchase and sale agreements (buildings, structures and land plots, including "problematic real estate") (analysis of title documents for real estate, legal opinions on the possibility of acquiring property);
• preparation of due diligence opinions on the possibility of acquiring ownership / use rights to real estate, identification of related legal risks;
• participation in negotiations with contractors on the conclusion of contracts of sale, lease of real estate.

CONTRACT MANAGEMENT:

• legal review of business agreements with residents and non-residents, supply operations, contracting capital construction, repair, maintenance, services (advertising, marketing, consulting, telecommunications, transportation), rent, insurance, storage, charity; collections, confidentiality; intellectual property - development, completion, upgrading, maintenance of software; license agreements.
• verification of the powers of contractors (according to documents, as well as open registers).
• development of standard and sample forms (individual and framework agreements);
• consideration of letters and complaints on various issues from the Bank's clients.

OTHER ECONOMIC ACTIVITY:

• development of the Articles of Association and regulations on the Bank's governing bodies (general shareholders' meeting, Management Board, Supervisory Board, Audit Commission);
• ensuring the state registration of the Bank's Articles of Association and changes to them by the state registrar and in the territorial administration of the NBU;
• registration actions at the place of state registration of the Bank (entering information into the USR about the legal entity and structural subdivisions, statements, extracts, certificates, etc.).
• drafting and approval of normative and administrative documents (regulations, guidelines, process maps, resolutions, orders, directives, etc.).

COURT DEFENCE:

• representation in litigations involving bank secrecy disclosure, debt collection under lease, collection /security, lease agreements;
• analysis and generalization of real estate case law;
• coordination and alignment of the legal position of the directorates' legal services for litigation by the regional directorates of the Bank;
• handling claims and taking measures for pre-trial settlement of disputes.

• representation of the administration's interests in court (invalidation of local government decisions; redevelopment of apartments, housing disputes, investment agreements, debt collection under loan agreements, recognition of property ownership, invalidation of constituent documents. • drafting the orders of the administration, decisions of the session of the district council, participation and preparation of the meetings of the board of trustees; • performance of duties of the secretary of the administrative commission of Pechersk district - consideration of cases on administrative offenses, handling applications and complaints of the general public; • drafting constituent documents of public organizations (schools, lyceums, condominiums) and local governments.

• handling claims, court representation in bankruptcy cases, debt collection under business contracts; • registration of intellectual property rights for inventions, trademarks.

• providing consulting assistance to citizens; • protection of the rights and interests of citizens from illegitimate actions of state bodies and officials.
