Senior Legal Counsel / Head of Legal (Investment Company)

About the Company

Our customer an international investment company with a distributed team, including presence in Kyiv, and a strong focus on international operations and cross-border transactions outside of Ukraine. The company specializes in investment structuring, asset management, and development of projects across multiple jurisdictions.

We are currently looking for a Senior Legal Counsel / Head of Legal to take full ownership of the legal function and act as a strategic partner to management in structuring and executing investment deals.

Role Overview

This is a standalone senior role with direct exposure to investment decision-making and senior stakeholders.

The successful candidate will be responsible for end-to-end legal support of M&A transactions, due diligence, corporate structuring, and cross-border operations, as well as contributing to investment processes from a legal and risk perspective.

Key Responsibilities

M&A and Transactions

• · Lead legal support of M&A transactions (buy-side / sell-side) 
• · Structure deals and participate in negotiations with counterparties 
• · Draft, review, and negotiate transaction documents (SPA, SHA, investment agreements, etc.) 
• · Coordinate external legal advisors across jurisdictions 

Due Diligence

• · Conduct and/or oversee legal due diligence of target companies 
• · Identify key legal risks and provide actionable recommendations 
• · Prepare and review DD reports and preliminary (pre-DD) assessments 

Corporate Structuring & International Setup

• · Design and implement corporate structures across jurisdictions 
• · Register and maintain companies in foreign jurisdictions 
• · Open and manage bank accounts in international banks 
• · Liaise with banks, corporate service providers, and regulators 

Investment Process Support

• · Contribute to preparation of investment memoranda, including: 
  • o legal structuring 
  • o risk identification and assessment 
  • o validation of transaction assumptions 
• · Support investment team in structuring deals and documenting investment logic 
• · Ensure legal consistency across all investment materials 

Legal Documentation & Advisory

• · Draft and review commercial, corporate, and investment-related agreements 
• · Provide ongoing legal support to management on strategic decisions 
• · Establish internal legal standards and documentation practices 

Compliance & Risk Management

• · Ensure compliance with applicable laws across jurisdictions 
• · Identify and mitigate legal risks in transactions and operations 
• · Implement legal processes and governance frameworks 

Requirements

• · Higher legal education 
• · 5+ years of experience in corporate law / M&A / investment projects 
• · Strong hands-on experience in: 
  • o M&A transactions 
  • o Due diligence 
  • o cross-border structuring 
• · Experience working with international jurisdictions 
• · Proven ability to independently lead legal matters 

Language Requirements

• · English — Advanced / Fluent (mandatory)
