• developing Corporate and M&A practice within Ader Haber team;

• full legal support of M&A deals, as well as complex legal due diligence;

• preparation of corporate documentation (statutes, shareholder agreements, local regulations);

• development and optimization of corporate governance structure;

• advising clients on various corporate matters;

• representation of interests before the AMC, including but not limited to merger approvals, Phase II investigations, cases on violation of competition legislation;

• protection of shareholders’ rights, including the use of complex court strategies.

• providing legal support for all companies/enterprises of the Group, including their business activity in Netherland, Switzerland and Cyprus;

• planned, managed and executed cross-border migration of the public limited liability company from the Dutch to Cyprus jurisdiction;

• assistance in filling of AML, KYC, Bank KYC forms;

• legal support in financial deals (loan agreements, mortgages, etc);

• ensuring the legal assistance to other departments of the Group;

• developing budget legal department, as well as controlling funds application;

• drafting corporate decisions, different documentation, internal procedures, compliance policies and providing the control for their performance;

• obtaining different permits for business activity of all entities of the Group, including permits for building the properties and certificates of commissioning;

• taking part in different negotiations;

• acting as a corporate secretary of Astarta Holding N.V. (i.e. preparation of all supporting documents for annual general meeting of shareholders, drafting board resolutions, minutes of board of directors, audit committee and remuneration committee);

• legal support in acquisition of assets/companies, including preparation of transaction documents, negotiation with a counterparty, receipt of AMC`s approval etc.;

• full legal support regarding all issues of competition law, i.e. approvals for concentration (including Phase II investigation), requests of the AMC, concerted practices, case investigation, etc.

As result of the abovementioned actions, the expenses on outside legal counsels were decreased up to 45%. The speed and effectiveness of implementation of changes in the group companies increased on 30%.

More than 200 deals were successfully closed by my team. About 35 due diligence process were successfully completed and respective advices were provided to the client.
