Regularly communicating and providing legal advice to the top management and owners of the company. Providing legal advice and support for partners on issues related to inspections of state authorities, customs clearance, intellectual property, consumer's complaints.

Corporate issues

Drafting and amending the charter, supporting registration of a legal entity, or registration of the changed information about the legal entity in the State Registry of Legal Entities and Private Entrepreneurs. Drafting POA, owner's decisions, shareholder's minutes, internal instructions and orders. Adapting and implementing international policies for the group of companies.

Compliance

Providing legal advice on compliance issues. Replying to requests of controlling authorities. Reviewing and improving of personal data management system (drafting consent for PD collection and operation, reviewing relevant contracts and editing with provisions on PD protection and PD transfer between companies, developing internal normative acts in compliance with Law "On PD protection" and GDPR). Developing internal regulations on compliance issues (resale price maintenance / fair trade / communication with partners and clients / issuing of official letters). Conducting trainings for employees on compliance issues.

Contract management

Drafting all types of contracts, developing standard (typical) contracts, negotiating with counterparties. Experienced in creating / improvement of the contract management system (rules on contract drafting, reviewing by relevant departments, responsibilities of managers and reviewers, preparing a final draft for signing by an authorized person, collection and storing of originals). Collecting information about counterparty and verifying for risks of cooperation (with legal databases, open databases of state authorities, register of court decisions).

Reviewing and approving drafts of advertising and marketing materials. Drafting and reviewing rules of marketing campaigns. Reviewing scenarios for TV advertising, reviewing advertising and informative video clips. Reviewing information articles for the Internet and printed media. Reviewing materials for the official website, pages with information about products.

Litigation

Reviewing claims from clients and drafting official replies to avoid litigation. Representing a company in common courts, administrative and commercial courts of all instances. Drafting and submitting all documents during litigation (claim, response to the claim, objections to the response, all procedural statements or petitions). Support of court decision execution. Represented company in litigations on labor disputes, refutation of false information, protection of business reputation, tax disputes, disputes on violation of consumer's rights, debt collection, transport accidents.
