    Andriy Stelmashchuk, Yurii Kolos and Hanna Rud successfully represented Lekhim Joint Stock Company, one of Ukraine's leading pharmaceutical companies engaged in the development, manufacture, and sale of medicinal products, in a commercial dispute with the Medical Procurement of Ukraine State Enterprise. The dispute between Lekhim and Medical Procurement of Ukraine arose from the fulfillment of a supply agreement for more than 1.9 million doses of the SARS-CoV-2 CoronaVac vaccine manufactured by Sinovac Biotech Ltd, a China-based biopharmaceutical company. Medical Procurement of Ukraine filed a claim against Lekhim in a commercial court seeking the recovery of fines and penalties totaling almost UAH 70 million, alleging that Lekhim failed to observe the vaccine delivery period. The claimant insisted that Lekhim had delayed the delivery of the first and second shipments of the CoronaVac vaccine. In response, Lekhim denied any delay in delivery. After reviewing the case, the commercial courts upheld the respondent’s (Lekhim’s) position by 97%, meaning that less than 3% of the claimed penalties were ordered to be paid. Due to the fact that since the first days of Russia's full-scale invasion of Ukraine, men between the ages of 18 and 60 have been prohibited from leaving the country, the majority of Ukrainian refugees are women and children. When women and children escaped the country because of the war and became refugees abroad, and men could not leave with their relatives, cross-border families eventually emerged. The forced separation has created difficulties in many aspects of Ukrainian family life, including complicating the marriage and divorce process, causing many new custody and child abduction cases, and generating a large number of disputes over the jurisdiction of family dispute resolution."     At the beginning of 2024, the Law of Ukraine “On Insurance" became effective. It was adopted in November 2021 to replace the 1996 Law of Ukraine “On Insurance”. The new Law differs significantly from its predecessor in scope and content, emphasizing the importance of solvency, transparency, and integrity of insurance companies towards their clients (consumers).     Shpola Agro Industry LLC (ShAI), a member of LNZ Group, has become the first company in Ukraine to start recording its shares in the depositary system of the National Depository of Ukraine (NDU) instead of the state register. Vasil Kisil & Partners lawyers, Volodymyr Igonin, Partner, and Mariia Mykhailovin, Associate, advised ShAI on this project. Volodymyr Igonin, Partner and Head of Corporate / M&A at VASIL KISIL & PARTNERS: “We strive to protect our clients’ interests through legal means as well as possible. That is why, from the very beginning, we supported a new opportunity to record shares in LLCs in the depository system, similarly to shares in JSCs. Unlike a state registrar or a notary who usually deals for the first time with the documents submitted for registration, a specific depository institution (e.g., a bank) knows well its client and can easily verify that a share transfer is legitimate. Aside from protecting title to business, the NDU’s infrastructure gives additional opportunities, such as electronic general meetings, effective pledges of shares, and escrow.” Dmytro Kravchenko, LNZ Group (UA) founder: "LNZ Group includes over 85 agricultural companies, as well as a specialized corn plant, a multifunctional seed plant, two elevators in the Cherkasy and Sumy regions, 10 logistics centres, and a customs warehouse. On top of this, escrow accounts will ensure the performance of obligations under share sale transactions and provide opportunities to expand the use of pledge as a security.” Maxim Libanov, a member of the National securities and stock market comission: “Allowing members of LLCs to transfer shares from the State Register to the Central Depository is our fundamental achievement as the regulator. This is aimed at recording the facts of the acquisition and sale of shares and restriction of rights to shares, and, of course, at protecting from unauthorized loss of title to a share. I am sure that this is a new stage for the market and another step towards digitalization."

    The war in Ukraine has been ongoing for two years and has changed the lives of Ukrainians everywhere. Due to the danger in the country, 2.7 million Ukrainians, young and old, have left the country and have not returned. Most of those who left the country are skilled workers. The mobilization of men into the armed forces has also played a role, as up to 1 million men of working age are currently defending the country. So, the country is reforming its immigration policy to combat the severe labour shortage.
